Terms & Conditions

Last updated: October 2026. Effective for all enterprise engagements with Analyca.

Welcome to Analyca (analyca.in). Analyca provides enterprise data analytics, database management, data engineering, business intelligence, cloud architecture, and IT consulting services (“Services”).

Please carefully read these Terms and Conditions (“Terms”) before accessing our website or engaging our consulting services. By accessing our website, booking a consultation, or entering into a Statement of Work (SOW), you accept and agree to be bound by these Terms.

If you are entering into these Terms on behalf of an enterprise or organization, you represent that you have the authority to bind such entity to these provisions.

1.Scope of Services & Consulting Engagements

Analyca delivers professional IT consulting, database administration, data pipeline engineering, business intelligence modeling, and digital transformation solutions. All client-specific projects are governed by a mutually agreed Statement of Work (SOW), Master Services Agreement (MSA), or Service Level Agreement (SLA) outlining project scope, timelines, deliverables, and fees.

  • Consulting deliverables and milestones are specified in the applicable project SOW.
  • Any modifications or additions to project scope require a written Change Request approved by both parties.
  • Analyca reserves the right to use industry-standard methodologies, enterprise tooling, and cloud frameworks to fulfill project objectives.

2.Client Responsibilities & Data Access

To ensure successful execution of data analytics and infrastructure services, clients agree to:

  • Provide timely access to relevant database instances, cloud infrastructure, schemas, APIs, and project stakeholders as outlined in the project plan.
  • Ensure all data and credentials provided to Analyca are lawful, authorized, and compliant with applicable data protection regulations.
  • Maintain secure backup copies of all critical production data prior to initiating infrastructure or migration tasks.

3.Intellectual Property Rights & Ownership

Client Data & Deliverables: Clients retain complete and exclusive ownership of all proprietary data, business logic, schemas, and custom deliverables developed specifically for the client upon full payment of applicable fees.

Analyca Methodologies: Analyca retains all rights, title, and interest in and to its pre-existing tools, algorithms, reusable frameworks, consulting architectures, and technical know-how developed independently of specific client engagements.

4.Confidentiality & Data Security

Both parties agree to treat all business data, technical specifications, and trade secrets disclosed during an engagement as strictly confidential. Analyca adheres to rigorous enterprise security standards:

  • We do not sell, rent, or monetize client data under any circumstances.
  • Access to client databases and environments is restricted to authorized engineers on a need-to-know basis under strict Non-Disclosure Agreements (NDAs).
  • Data processing is executed in compliance with GDPR principles and Indian data protection regulations (DPDP Act).

5.Payment Terms & Invoicing

Unless otherwise specified in an active SOW:

  • Consulting fees are billed on milestone, time-and-materials, or retainer bases as mutually agreed.
  • Invoices are payable within the net payment terms specified in the invoice (standard Net 15/30 days).
  • Applicable taxes, GST, or statutory levies will be charged as per prevailing government regulations.

6.Limitation of Liability & Disclaimers

Analyca provides consulting services using seasoned professionals adhering to recognized industry best practices. Except where explicitly stated in a dedicated SLA:

  • Services and website content are provided on an “as-is” and “as-available” basis without warranties of uninterrupted third-party cloud uptime.
  • Analyca shall not be liable for indirect, punitive, incidental, or consequential damages resulting from third-party vendor outages, unauthorized breaches outside our control, or client-directed architecture changes.
  • Analyca’s aggregate liability under any engagement shall not exceed the total fees paid by the client under the specific Statement of Work during the three (3) months preceding the claim.

7.Termination & Suspension

Either party may terminate an engagement or service agreement in accordance with the termination clauses of the applicable SOW, typically with a 30-day written notice, or immediately in the event of a material breach that remains uncured after 15 days of written notification. Upon termination, client data in Analyca’s possession is securely transitioned or purged as requested.

8.Governing Law & Jurisdiction

These Terms and any contractual disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
